General Terms and Conditions

Rent a Work Communication GmbH

 

§ 1 Subject matter/Contract execution

We, Rent a Work Communication GmbH, arrange orders for you which you shall carry out professionally, properly and punctually. Basis of the contract are a contract for the management of the affairs of another, all required documents and your loyal commitment. The order to be placed is described in detail in the acknowledgement of order signed by you. The accepted order is a contract concluded between you and your principal. Therefore you have to execute the order from the first to the last day!

§ 2 Performances

As described in the contract for the management of the affairs of another all performances are covered by the commission which make a smooth execution of your order possible. For special performances or additional services (particularly difficult search accommodation, unscheduled replacement, etc.) we charge you € 30/hour.

§ 3 Terms of payment and invoicing

We will send you invoices on the basis of your vouchers/accounting documents by the week. The invoices shall be due according to the terms and conditions of payment agreed upon in the agency agreement. If you do not present any voucher/accounting document we will estimate our commission – after a one-time reminder – on the basis of the moving average of other comparable construction sites. You will sign a European direct debit statement so that we can collect our commission – in order to avoid that the debit statement bounces you must inform us if the outstanding amount corresponding account.

 

§ 4 Set-off/Withholding/Reduction

You are only entitled to set off counterclaims or to withhold or reduce our receivables if your claims have been recognised or legally determined.

§ 5 Order execution

We arrange an order for you. You are the contractor, the customer placed by us is your principal. So a binding contract has been concluded between you and the customer which must be fulfilled in any case. A day off, time off to deal with the children or defective cars are no reasons not to fulfil your order. Should you really be in trouble, we will try to fulfil your order for you in return for the payment of costs. If your attitude should annoy a customer or prompt him to back out of the order, we will have recourse against you.

§ 6 Qualification

You shall fill in a qualification form. The qualification form signed by you is the basis on which we offer you an order. Due to your information and certificates we proceed from the assumption that the order can be fulfilled without any problems. If the contract has been concluded on the basis of a false information and cannot be fulfilled, we will charge the costs for the replacement and the loss of profit.

§ 7 Place of jurisdiction

Place of performance and jurisdiction is Gelsenkirchen for placements and payments (including proceedings

involving cheques and bills of exchange).as well as all disputes between the contractor and the principal resulting from the agency contracts concluded between the contractor and the principal. The contractor shall, however, be entitled to sue the principal at his place of residence or registered office.

The relations between the contractual parties are subject exclusively to the law of the Federal Republic of Germany. The application of international law or laws of other Member States of the European Union shall be excluded altogether. The contract language is German.

§ 8 Final provisions

Collateral agreements, amendments and changes of the contract must be made in writing in order to become effective. Should a provision or part of a provision of these General Terms and Conditions be completely or partly invalid, this shall not affect the validity of the remaining provisions or parts of them. The invalid provision shall be deemed replaced by a valid provision which accomplished, as far as possible, the economic effects intended by the invalid provision.
